1. ACCEPTANCE OF TERMS
By purchasing and using the Showit templates from The Template Shoppe, a part of Ivy Grows Studio LLC, you agree to comply with and be bound by the following terms and conditions. If you do not agree with these terms, you should refrain from using the templates.

2. LICENSE AND USAGE
* 2.1 Grant of License: Ivy Grows Studio LLC grants you a non-exclusive, non-transferable, revocable license to use the Showit templates purchased via The Template Shoppe for your personal or business website.
* 2.2 Usage: The templates are for individual use only. You are permitted to modify the templates to fit your needs; however, the templates and any modifications thereof must not be used for multiple clients or projects unless a separate License is purchased for each client or project.
* 2.3 Prohibitions: You may not, under any circumstances, redistribute, resell, lease, license, sublicense, or offer the templates or modified versions of the templates to any third party. This includes sharing the "Share Key" or code provided by Showit, which is intended solely for your use to import the template into your Showit account.

3. INTELLECTUAL PROPERTY
* 3.1 Ownership: All templates and their content including, but not limited to, design, text, graphics, logos, images, and icons, are the property of Ivy Grows Studio LLC and are protected by intellectual property laws.
* 3.2 Restrictions: You may not copy, reproduce, republish, upload, post, transmit, or distribute the templates in any way without the prior written consent of Ivy Grows Studio LLC.

4. LIMITATION OF LIABILITY
Ivy Grows Studio LLC will not be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of, or the inability to use, the templates or any modifications thereof.

5. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Ivy Grows Studio LLC and its affiliates, officers, agents, employees, partners, and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the templates, your violation of these terms and conditions, or your violation of any rights of another.

6. TERMINATION
Ivy Grows Studio LLC may terminate your license to use any of the templates at any time if you are found in violation of these terms. Upon termination, you must immediately cease using the templates and destroy any copies.

7. GENERAL PROVISIONS
* 7.1 Governing Law: These terms and conditions are governed by the laws of the jurisdiction where Ivy Grows Studio LLC is based, without regard to its conflict of law provisions.
* 7.2 Changes to Terms: Ivy Grows Studio LLC reserves the right, at its sole discretion, to modify or replace these terms at any time. It is your responsibility to check periodically for changes.

By purchasing and using the templates from The Template Shoppe, you acknowledge that you have read, understood, and agree to be bound by the above terms and conditions.
